How to Obtain Payment for Shares Acquired by SG Enterprises II, LLC

On March 28, 2024, SG Enterprises II, LLC ("SG") acquired all of the common shares of Trilogy International Partners Inc. ("TIP Inc.") that SG didn’t previously own. The acquisition was completed pursuant to a plan of arrangement that TIP Inc.’s shareholders approved at a special shareholder meeting on March 25, 2024, and that the British Columbia Supreme Court approved on March 27, 2024. TIP Inc. was delisted from the NEX board of the TSX Venture Exchange on April 1, 2024.


TIP Inc. is now a private entity that is owned 100% by SG, which in turn is wholly owned by John Stanton and Terry Gillespie.


The purchase price for shares acquired by SG under the plan of arrangement is US$0.07 per common share.


SG has deposited the aggregate payment for the shares it acquired with TSX Trust Company, which is responsible for paying each shareholder for the shares that have been transferred to SG.


How to receive payment for your shares:


For shares registered with TIP Inc. in your own name, you can receive payment by sending a letter of transmittal to TSX Trust Company.  (If you are the beneficial owner of any TIP Inc. shares that are held on your behalf by a broker, you don’t need to take any action; the broker will be responsible for collecting payment for you from TSX Trust Company.)


A blank letter of transmittal was included with the proxy materials that were mailed to shareholders in connection with the special shareholders meeting of March 25. If you do not have a copy of the letter of transmittal, you can access one by clicking here.


You should now complete the letter of transmittal for shares that are registered with TIP Inc. in your own name. When you send the letter to TSX Trust Company, you should also include Direct Registration System Advice ("DRS Advice") for the shares that are registered in your name. A DRS Advice is a listing of shareholdings that have been book entered in your name electronically by TSX Trust Company and are therefore not represented by a physical certificate. If you do not have a DRS Advice for shares that are registered in your name, you can request TSX Trust Company to send a copy of your DRS Advice by emailing tsxtis@tmx.com with your registration name, registration address and specifying Trilogy International Partners Inc. as the issuer or by filling out a DRS request form that can be downloaded here.


In order to complete your request for a DRS Advice, you will be asked to provide your shareholder account number and the number of TIP Inc. shares that you own.
